Terms and Conditions

"Account" means the unique account you create to access the Service.

"Content" means all data, text, metrics, reports, and other materials generated, transmitted, or displayed through the Service.

"User," "you," or "your" refers to the individual or entity accessing or using the Service.

"Third-Party Services" means external platforms such as Google Analytics 4, Apple App Store Connect, Google Play, Stripe, and any other data source you connect to MorningPulse.

"Subscription" means a paid plan (Starter, Pro, or Agency) that provides access to premium features.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using MorningPulse, you represent and warrant that you meet this requirement.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

To use MorningPulse, you must create an Account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

You agree to notify us immediately at support@morningpulse.app if you suspect unauthorized access to your Account. We are not liable for any loss arising from your failure to safeguard your credentials.

We reserve the right to suspend or terminate Accounts that contain false information or are used in violation of these Terms.

MorningPulse is a SaaS platform that aggregates analytics data from Google Analytics 4, Apple App Store Connect, Google Play and Stripe, and delivers daily summary emails to your inbox. The Service includes:

• Daily automated email reports with key performance metrics
• Trend comparisons
• Customizable metric selection and delivery timing
• Multi-app support (Pro and Agency plans)
• Multi-recipient email delivery (Agency plan)
• Weekly digests and anomaly alerts (on eligible plans)

We reserve the right to modify, enhance, or discontinue features of the Service at any time, with reasonable notice where practicable.

The Service connects to Third-Party Services to retrieve your analytics data. By connecting these services, you represent that:

• You have the legal right and authorization to access the data from those Third-Party Services.
• Your use of Third-Party Services is governed by their respective terms of service and privacy policies.
• You grant MorningPulse read-only permission to access your analytics data solely for the purpose of generating your reports.

MorningPulse is not responsible for the availability, accuracy, or completeness of data provided by Third-Party Services. Changes to third-party APIs may temporarily or permanently affect certain features.

Free Plan. The free tier provides limited access to the Service at no cost and may be used indefinitely, subject to these Terms.

Paid Plans. Paid Subscriptions (Starter, Pro, Agency) are billed on a monthly or annual basis, as selected at checkout. All fees are quoted in Euros unless otherwise stated.

Free Trials. Paid plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without incurring charges.

Automatic Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. The renewal charge will be at the then-current rate.

Price Changes. We may adjust pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period.

Taxes. All fees are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for paying any taxes associated with your use of the Service.

Failed Payments. If a payment fails, we will retry up to 3 times over 7 days. If payment remains unsuccessful after all retry attempts, your Subscription may be downgraded to the Free plan.

Cancellation. You may cancel your Subscription at any time from your Account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

Refunds. We do not offer prorated refunds for partial billing periods. However, if you cancel within 14 days of your first charge (i.e., after your free trial ends and billing begins), you may request a full refund by contacting support@morningpulse.app.

Account Deletion. You may request complete deletion of your Account and associated data at any time by emailing support@morningpulse.app. We will process deletion requests within 30 days, subject to legal retention requirements.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other Accounts, or our systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers) to access the Service beyond what is provided by our APIs.
• Resell, sublicense, or redistribute the Service or any output without our written consent.
• Interfere with the operation, integrity, or performance of the Service.
• Upload or transmit malicious code, viruses, or any harmful material.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your Account without notice.

Our IP. The Service, including its design, code, branding, documentation, and all related intellectual property, is and remains the exclusive property of MorningPulse. These Terms do not grant you any ownership rights in the Service.

Your Data. You retain full ownership of the analytics data retrieved from your Third-Party Services. We claim no ownership over your data. We access and process it solely to provide the Service to you.

Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

Your privacy is critically important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.

Availability. We strive to maintain 99.9% uptime for email delivery. However, the Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.

Disclaimer. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the analytics data delivered through the Service will be complete, accurate, or timely, as data quality depends on Third-Party Services beyond our control.

To the maximum extent permitted by applicable law:

Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to MorningPulse in the 12 months preceding the claim, or (b) €100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless MorningPulse and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any data or content you provide through or to the Service.
• Your connection of Third-Party Services without proper authorization.

By You. You may terminate your Account at any time by cancelling your Subscription and deleting your Account through the dashboard, or by contacting us.

By Us. We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if required by law.

Effect of Termination. Upon termination, your right to use the Service ceases immediately. We may delete your Account data within 30 days of termination, except where retention is required by law. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify you by email at least 15 days before the changes take effect.
• Provide a summary of what changed.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your Account.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Informal Resolution. Before filing any formal proceeding, you agree to attempt to resolve disputes informally by contacting us at legal@morningpulse.app. We will endeavor to resolve disputes within 30 days.

Arbitration. If informal resolution is unsuccessful, any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Class Action Waiver. You agree that any dispute resolution proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

Entire Agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and MorningPulse regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure. We shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
